BERMUDA J 105 CLASS ASSOCIATION - CONSTITUTION PDF Print E-mail

1/. TERMS AND DEFINITIONS 

1.1 The Bermuda J 105 Class shall be known and referred to as the BJ105CA. 

1.2 The Class shall mean the class of sailing yacht designed by Rodney Johnstone and constructed in accordance with the building specifications and known under the name J105. 

1.3 The International J 105 Class Association shall be known and referred to as the IJ105CA. 

1.4 The Bermuda Sailing Association shall refer to the governing body for the sport of sailing within Bermuda and shall be known and referred to as the BSA. 

1.5 The Class rules shall mean the rules relating to measurement , equipment , racing condition of a J 105 Yacht annexed hereto and incorporated as a By Law of this Constitution. 

2/. OBJECTS 

2.1 The BJ105CA shall have sole authority within Bermuda for the conduct and management of the  Class in Bermuda in cooperation with the IJ105CA and the BSA. 

2.2 The BJ105CA shall promote expansion of the Class throughout Bermuda. 

3/. MEMBERSHIP 

3.1 The following types of membership shall be recognised.

3.1.1 Full Members shall be owners who have paid the annual subscription to the BJ105CA and shall be eligible to vote on Class matters on the basis of one vote per boat.

3.1.2 Associate Members shall be sailors who have paid the annual subscription to the BJ105CA but are not eligible to vote on Class matters.

3.1.3 Sponsoring Members shall be those individuals and companies who provide products and / or services to the BJ105CA or its Members. Sponsoring Members may not vote nor are they eligible to hold office. 

4/. ANNUAL SUBSCRIPTION AND FEES 

4.1 The BJ105CA shall be financed by annual subscription from Full and Associate Members and by collectionof fees from sponsoring members and other sources. The subsription shall be determined annually. Membershipshall be for the period from when paid to December 31 st of that year. 

5/. OFFICERS AND MANAGEMENT 

5.1 The following officers shall be elected annually by the Full Members and shall hold office for one year. Class CaptainClass Vice CaptainSecretary / Treasurer / PR 

5.2 The Executive Committee shall comprise the above elected officers

5.3 The Executive Committee may appoint such agents and attorneys with such powers and to perform such acts and duties on behalf of the BJ105CA as the Executive Committee may determine.

5.4 The Executive Committee shall have the authority to modify the Class Rules and appoint official measurers. 

6/. NOMINATION AND OFFICERS 

6.1 Nominees for an officer position shall be Full or Associate Members.

6.2 Nominess for officers shall be proposed and seconded by Full Members other than themselves.

6.3 The current list of nominatiosn shall be available at the AGM.

6.4 If there is more than one nominee for a position the officer shall be elected by a majority vote of the members.

6.5 Nominees for officer position are not required to be a whole or part owner of a J 105 

7/. GENERAL MEETINGS 

7.1 The AGM of the BJ105CA shall be held in January at a time and date to be set by the Executive Committee. Notice of the time, date and place of the meeting shall be given to members at least four weeks in advance.

7.2 The business of the AGM shall normally be : 

  • To elect a chairman for the meeting
  • Class Captain's Report
  • Treasuer / Secretary's Report
  • Election of Officers
  • AOB 

7.3 The chairman shall have the option to amend, insert , or reaarange the order of business.

7.4 A special general meeting may be called at any time by the Executive Committee. 

8/. ACCOUNTS 

8.1 The Treasurer shall cause all accounts to be kept giving particulars of :

8.1.1 All amounts of money , assets and liabilities of the BJ105CA.

8.1.2 All amounts of money received and expended by the BJ105CA and a description of such receipts and expenditures.

8.1.3 A financial statement shall be presented to the membership at the AGM.

8.1.4. The fiscal year shall be January 1 st to December 31 st  

9/. AMENDMENTS 

9.1 The constitution may be amended by a majority vote of Full Members attending any general meeting and must be described in the notice of the general meeting. Motions to amend the constitution shall be proposed and seconded by Full Members. 

10/. DISSOLUTION 

The BJ105CA may be dissolved by a vote of the members at a special general meeting called for that purpose. A special general meeting for the purpose of dissolution shall require a notice period the same as that required for the AGM. If upon dissolution there remains after the satisfaction of all its debts and liabilities whatsoever, It shall not be paid or distributed amongst the members of te BJ105CA but shall be given to some other institution or institutions in Bermuda having objects similar to the objects of the BJ105CA.If effect cannot be given to such provision then to the International J 105 Class.
